ARTICLES OF ORGANIZATION

(General Laws, Chapter 180)

 

ARTICLE I

The exact name of the corporation is:

Mohawk 4×4 Adventures, Inc

 

ARTICLE II

The purpose of the corporation is to engage in the following activities:

2.1 EIN 46-4907127

2.2 Mohawk 4×4 Adventures, Inc is organized within the meaning of Section 501(c)7 as a Social or Recreational Club, of the Internal Revenue Code. The purpose of the corporation is exclusively for charitable, educational recreational and social purposes, including for such purposes, distributions to organizations that qualify for exempt organizations under Section 501(c)3 of the Internal Revenue Code, or the corresponding section of any other or future federal tax code, and herein as follows:

2.3 Mohawk 4×4 Adventures, Inc, also referred to as the club or corporation in this document, is hereby founded to provide educational, recreational and social resources and events for members of the club, as well as members of the community interested in the same activities.

2.4 Owners of street registered dual purpose 4×4 vehicles, which have been modified for use over unimproved terrain and discontinued for maintenance roads and are capable of safe highway operation, will benefit from effective leadership and guidance, as well as improved techniques specific to motorized recreation and wilderness safety. Our goal as a club is to encourage best practices of safe and responsible enjoyment of our hobby in a sustainable and legal manner.

2.5 The corporation will achieve its purpose by organizing and conducting targeted educational events throughout the membership year, in addition to recreational events where members will apply what they have learned and have fun in a family friendly atmosphere.

2.6 Mohawk 4×4 Adventures may participate in other activities such as community service or fund raising, to maintain existing motorized recreational opportunities, promote permitted, responsible and sustainable land access.

 

ARTICLE III

A corporation may have one or more classes of members. If it does, the designation of such classes, the manner of election or appointments, the duration of membership and the qualification and rights, including voting rights, of the members of each class, may be set forth in the by-laws of the corporation or may be set forth below.

ARTICLE IV

4.1 VOTING and PARTICIPATION – Contributing Members and Officers will decide club affairs utilizing the Strategic Planning model in Del Albright’s Recreational Leadership Training Course, Module V. This will provide members with participation in the decision making process used by the club, and as such, will carry into volunteer participation of action items decided by the club.

4.2 INDEMNITY – Mohawk 4×4 Adventures does indemnify any officers, directors, employees incorporators and members of the corporation from liability regarding the corporation, unless a person fraudulently and intentionally violated the law and/or maliciously conducted acts to damage and/or defame the corporation, or as provided under applicable statute.

4.3 PROHIBITED ACTIVITIES – No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II. No substantial part of the activities of the corporation shall be carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including publishing or distributing of statements) and political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation. Upon dissolution of the corporation, after paying or making provisions for the payment of all the legal liabilities of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of 501(c)3 of the Internal Revenue Code, or the corresponding section of any future tax code, or shall be distributed to the federal, state or local government for public purpose.

 

ARTICLE V

The by-laws of the corporation have been duly adopted and the initial directors, president, treasurer and clerk or other presiding, financial or recording officers, whose names are set out on the following page, have been duly elected.

Note: The preceding four (4) articles are considered to be permanent and may only be changed by filing appropriate Articles of Amendment.

 

ARTICLE VI

The effective date of organization of the corporation is April 23rd, 2014, as approved and filed by the Secretary of the Commonwealth.

 

ARTICLE VII

The information contained in Article VII is not a permanent part of the Articles of Organization.
